BY PARTICIPATING IN THE SWEEPSTAKES, YOU AGREE TO THESE RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU. THESE RULES REQUIRE YOU TO CREATE A NEW HONEY MEMBERSHIP ACCOUNT IF YOU DO NOT HAVE ONE AND DOWNLOAD THE HONEY EXTENSION. 1. OVERVIEW/SWEEPSTAKES PERIOD. The Sephora $500 Gift Card Giveaway (“Sweepstakes”) is sponsored by Honey, a PayPal Inc. service (“Honey” or “Sponsor”). It begins at 12:00 PM Pacific Time (“PT”) on Friday, February 8, 2021, and it ends March 19, 2021 at 11:59 PM PT (the “Sweepstakes Period”). Sponsor’s clock will be the official timekeeper for this Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations, and is void where prohibited. Honey may conduct similar sweepstakes at similar times; entry into this sweepstakes does not constitute entry into any other sweepstakes.
2. AGREEMENT TO SWEEPSTAKES RULES. Participation in the Sweepstakes constitutes your agreement to these Rules and Honey’s decisions related to the Sweepstakes, which you agree are final and binding. In order to be eligible to win a prize in the Sweepstakes, you must fulfill all requirements in the Rules. The Rules along with the Honey Terms of Use are the “Applicable Terms.”
3. ENTRANT ELIGIBILITY. The Sweepstakes is open only to legal residents of any one (1) of the fifty (50) United States or the District of Columbia whoas of the entry date, are at least eighteen (18) years old and the age of majority in their jurisdiction of primary residence. Entrant's Honey Membership Account (“Honey Account”) must remain in good standing through the time of prize award and fulfillment to redeem and use a prize. Employees, officers, managers, directors, and contractors (including, without limitation, influencers) of Honey, its parent, divisions, affiliates, subsidiaries, advertising agencies or promotional partners associated with this Sweepstakes (collectively, the “Sweepstakes Entities”), and relatives of and those living in the same household as such individuals are not eligible to enter or win a prize. For the purpose of this Sweepstakes, relatives are defined as spouse, domestic partner, parent, legal guardian, legal ward, in-law, grandparent, sibling, children and grandchildren. This Sweepstakes is void in all U.S. territories (including Puerto Rico), possessions and overseas military installations and where prohibited by law. Any potential winner may be required to provide Sponsor with proof that he/she is the registered Honey Account holder associated with a potentially winning entry as well as proof of residency and age. If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible.
4. HOW TO ENTER. Eligible Participants must complete all of the following steps during the Sweepstakes Period: 1) Click the Sweepstakes URL: https://get.joinhoney.com/page/dr-us-simplified-sephoragiveaway/; 2) download the Honey web browser extension through the Sweepstakes URL for the first time
5. SELECTION OF WINNER: After the Sweepstakes Period, Honey will select 5 entries at random (the "Potential Winners" and individually “Potential Winner”) from among all eligible entries received during the Sweepstakes Period. Odds of winning depend on number of eligible entries received. On or about March 31, 2021, a random drawing from among all eligible entries will be conducted by Sponsor’s designated agent/representative, whose decisions are final, to determine the Potential Winners. On or about April 15, 2021, Sponsor or its designee will attempt to notify the Potential Winners individually that he or she may have won the prize in this Sweepstakes via email, using the email associated with their Honey Account (at Sponsor’s sole discretion). Each Potential Winner will be required to provide his/her name, mailing address, date of birth, and consent to confirm eligibility and may be required to complete, sign, have notarized (if applicable) and return, without alteration and in the form presented by Sponsor, an affidavit of eligibility and liability/publicity release (unless prohibited by law), and tax forms, within the time frame specified by Sponsor or prize may be forfeited. In the event of noncompliance with these requirements, the prize may be forfeited. The affidavit of eligibility and liability/publicity release are subject to verification by Sponsor. If any the prize notification or Sweepstakes-related communication is rejected, faulty or returned as undeliverable, or if the Potential Winner cannot be reached after a reasonable attempt has been made by Sponsor or does not respond according to the notification’s or Sponsor’s instructions (as determined by Sponsor in its sole discretion), that Potential Winner may be disqualified and an alternate winner may be randomly selected; the Sponsor will not be obligated to pursue more than three (3) alternate Potential Winners for any reason, in which case some prizes may go unawarded. Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner, if any.
6. PRIZES, QUANTITY AND APPROXIMATE RETAIL VALUE (“ARV”): This Sweepstakes prize is a $500 Sephora gift card, subject to availability. The ARV of each prize is $500 USD. The total ARV of all prizes: $2500 USD. The prize is non-transferable, and no substitution or cash redemptions will be made except in Honey’s sole discretion. Honey reserves the right to substitute the prize for one of equal or greater value if the prize should become unavailable for any reason. The Prize will be fulfilled no later than 8-10 weeks after the end of the Sweepstakes Period. All prize details not specified in these Rules will be determined in Sponsor’s sole discretion. Sponsor is not responsible for, and winner will not receive the difference, if any, between the actual value of the prize at the time of award and the stated ARV in these Rules or in any Sweepstakes-related correspondence or materials. If legitimately claimed, the prize will be awarded. Sponsor will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address or other contact information. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and Sponsor will have no further obligation with respect to that prize or portion of the prize. No more than the stated prize will be awarded. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the prize.
7. TAXES: All applicable taxes (as well as any expenses not specified in these Official Rules as being provided as part of the prize) are the sole responsibility of the prize recipient. Federal IRS 1099-MISC or other tax forms may be issued where required.
8. PUBLICITY: Entry into this Sweepstakes shall constitute and signify the participant’s agreement and consent that Honey and its designees may use the entrant’s name, city, state, likeness, photo, entry, and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law, and participant releases all Released Parties from any and all liability related thereto. Nothing contained in these Rules obligates Sponsor to make use of any of the rights granted herein and winner waives any right to inspect or approve any such use.
9. ENFORCEMENT OF AND COMPLIANCE WITH RULES: Sponsor’s decisions will be final in all matters relating to this Sweepstakes, including interpretation of the Rules, determination of the recipients, and distribution of the prizes. All participants, as a condition of entry, agree to be bound by and comply with the Applicable Terms and the decisions and instructions of Honey. Failure to comply with the Rules may result in disqualification from this Sweepstakes. Honey’s failure to or decision not to enforce any provision in the Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and/or the Applicable Terms (including any alleged discrepancy or inconsistency in the Rules), it will be resolved in Honey’s sole discretion. Participants waive any right to claim ambiguity in the Sweepstakes or the Rules. The invalidity or unenforceability of any provision of the Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, the Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
10. DISQUALIFICATION, CANCELLATION, MODIFICATION, SUSPENSION: In its sole discretion, Sponsor reserves the right to: (a) void participation of any participant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Sweepstakes; (b) disqualify any participant at any time (even if disqualified winner or potential winner may have been notified or displayed or announced anywhere), if Sponsor determines at any time in its sole discretion that such participant is ineligible, in violation of the Applicable Terms, Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person; (c) restrict or void online entries or participation from any IP address if any suspicious entry and/or participation is detected; (d) cancel, modify or suspend the Sweepstakes and distribute the prize in a manner deemed fair and appropriate by Sponsor if the Sweepstakes is not capable of running as planned for any reason; (e) disqualify any participant that supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of the Rules in an attempt to obtain any prize (and in such case, that person may be prosecuted to the full extent of the law). Participants agree to not damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SWEEPSTAKES MAY VIOLATE CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
11. LIMITATIONS OF LIABILITY: EACH ENTRANT AGREES TO RELEASE, HOLD HARMLESS AND INDEMNIFY THE SWEEPSTAKES ENTITIES (“RELEASED PARTIES”) FOR ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF THE PRIZE, WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY PRIZE- OR SWEEPSTAKES-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. EACH WINNER AGREES (AS BETWEEN WINNER AND THE SWEEPSTAKES ENTITIES) THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.
12. Additional Disclaimers: Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the participant or by human error: (a) entries that are submitted by illegitimate means or in excess of the stated limit; (b) any lost, late, incomplete, forged, altered, illegible, mutilated, illegitimate, garbled, illegible, or misdirected participation, e-mail, mail, submissions, Sweepstakes-related correspondence or materials or postage-due mail, or entries (and any such entries will be void); (c) any error, omission, interruption, defect, or delay in transmission or communication; (d) viruses or technical or mechanical malfunctions, failures or unavailability of any kind; (e) errors, typos or misprints in these Rules, in any Sweepstakes-related advertisements or other materials; (f) electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages; (g) if an entrant’s e-mail address, telephone, or other contact information does not work or is changed without entrant giving prior written notice to Sponsor; (h) any changes or unavailability of any platform that may interfere with the Sweepstakes (including any limitations, any restrictions, or any conditions on Sponsor's ability to use the platform for the Sweepstakes as set forth herein that are not acceptable to Sponsor); or (i) ability of entrant to timely enter, receive notices or communicate with Sponsor. Without limiting any other provision in the Rules, Released Parties are not responsible or liable to any participant or any person claiming through such participant for failure to supply an prize or any part thereof in the event that any of the Sweepstakes activities or the Released Parties operations or activities are affected, as determined by the Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, pandemics, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, national, federal, state, provincial, territorial, or local government authority, or any other cause, whether or not specifically mentioned above.

15. PRIVACY: As a condition of entering the Sweepstakes, without limiting any other provision in these Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address, and other information and content to third parties for the sole purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules. Information collected from entrants and Sweepstakes Winner is subject to Honey’s Privacy Policy located at https://www.joinhoney.com/privacy.

How to Enter: Participation Requirements: You must have 1) a Honey account with first and last name listed in your account settings through the Promotion Period (“Valid Honey Account”) See instructions for how to add or confirm they have their first and last name added to your account; and 2) the Honey browser extension downloaded to your computer or laptop through the Promotion Period. If you do not have a Valid Honey Account, or the Honey browser extension downloaded, you can enroll in Honey by creating a Valid Honey Account and/or adding the Honey extension to your web browser. Entry Requirements: During the Promotion Period, add Eligible Items (defined below) to your Droplist and either add (+Add Your Own) “HoneyHolidays” or , select HoneyHolidays Collection or HoneyHolidays Tag. You may also add Eligible Items to your HoneyHolidays Droplist Collection or your HoneyHolidays Tag directly on joinhoney.com by shopping for an Eligible Item and clicking on the “Droplist“ button and adding it to the HoneyHoidays Collection or adding a HoneyHolidays Tag.
Eligible Items: Eligible Items are items that are available for sale through participating online retailers where the Honey browser extension functions, and can be added to your Droplist, or items listed through the Honey website. Items that are deemed obscene, related to pornography or sexual acts, weapons or other items related to violent acts, or associated with illegal substances or activities illegal, defamatory, slanderous, libelous, disparaging, obscene, hateful, inappropriate, threatening, or harmful (as determined solely by Sponsor) will not count as Eligible Items and therefore will not accrue entries into this Sweepstakes.
Items added to Droplist via the Honey mobile app do not qualify for this sweepstakes.
Entry Value: Each Valid Entry will count as one (1) entry into the applicable Weekly Entry Period Prize drawing as set forth in the chart below based upon the value of the item at the end of that Weekly Entry Period.

*Note: The Value of each Valid Entry will be based on the price of the Eligible Item, excluding taxes, shipping & handling, as of the end of the applicable Weekly Entry Period.
Entry Limit: You may have a maximum of fifty (50) Valid Entries included in every Weekly Entry Period drawing. Entrants may add and remove Eligible Items from their HoneyHolidays Collection on Droplist to count as one (1) of their fifty (50) Valid Entries. Entries will be counted in the order they are added to your HoneyHolidays Collection on Droplist (according to Honey’s servers); Eligible Items added to the Droplist and your HoneyHolidays Collection in excess of 50 will not be deemed entries. Non-winning Valid Entries from each a Weekly Entry Period will roll over to the following Weekly Period in that same order. Multiple entrants are not permitted to share the same Valid Honey Account. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, Valid Honey Accounts, or any other fraudulent methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to create the Valid Honey Account will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.
5. Prize Drawing: Sponsor’s decisions as to the administration and operation of the Sweepstakes, including drawings and the selection of the potential winners are final and binding. Immediately after each Weekly Entry Period, Sponsor will randomly select the potential Weekly Sweepstakes winners from all eligible entries received and available as of the end date and time of each applicable Weekly Entry Period for the applicable prize drawing. Non-winning otherwise Valid Entries from one Weekly Entry Period will carry over to subsequent Weekly Entry Periods provided they remain on the participant’s HoneyHolidays Collection on Droplist. The potential winners will be notified by email, using the email associated with their Valid Honey Account, with directions on how to claim the prize. If a potential winner of any prize cannot be contacted, the potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner forfeits the prize or is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. In each Weekly Entry Period, only three (3) alternate drawings will be held for each prize category except for the Fourth Prize category, after which the prize will remain un-awarded. No alternate drawings will be held for the Fourth Prize category in any Weekly Entry Period.
6. Prizes: FOUR HUNDRED (400) GRAND PRIZES (60 prizes awarded in Weekly Entry Period 1 – 5; and 100 prizes awarded in Weekly Entry Period 6): $500 PayPal payment. Average Retail Value (“ARV”) of each prize is $500.
EIGHT HUNDRED (800) FIRST PRIZES (120 prizes awarded in Weekly Entry Period 1 – 5; and 200 prizes awarded in Weekly Entry Period 6): $250 PayPal payment. ARV: $250.
TWO THOUSAND (2,000) SECOND PRIZES (300 prizes awarded in Weekly Entry Period 1 – 5; 500 prizes awarded in Weekly Entry Period 6): $100 PayPal payment. ARV: $100.
FOUR THOUSAND (4,000) THIRD PRIZES (600 prizes awarded in Weekly Entry Period 1 – 5; 1000 prizes awarded in Weekly Entry Period 6): $50 PayPal payment. ARV: $50.
EIGHT THOUSAND (8,000) FOURTH PRIZES (1,200 prizes awarded in Weekly Entry Period 1 – 5; 2,000 prizes awarded in Weekly Entry Period 6): $25 PayPal payment. ARV: $25.
For All Prizes: All winners must have or create a valid U.S. account with PayPal in good standing, in order to receive, access, and use the prize. There is no cost to create a PayPal account; PayPal accounts are subject to the PayPal User Agreement and the PayPal Privacy Policy. A prize will not be awarded to a winner with a locked, closed or restricted account. Winners will receive a PayPal email notification regarding their prize. For winners who have a valid PayPal account associated with the email address used for their Valid Honey Account, the prize will be transferred directly into their account with PayPal. For winners who either don’t have an account with PayPal or their account with PayPal is associated with an email address that is different from their Valid Honey Account, the PayPal email notification will provide directions on how to sign up for PayPal and claim the prize payment or to add the email address associated with their Valid Honey Account to their PayPal account. Entrants who need to create a PayPal account or need to add their email addresses will have thirty (30) days to claim their prize. Failure to create a PayPal account within 30 days of the email notification will result in forfeiture of the prize.
Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a Prize depend on the number of Valid Entries received and available through the end of each Weekly Entry Period for the applicable prize drawing (including all non-winning entries from the prior Weekly Entry Period(s)). Limit: Each entrant may receive only one (1) Prize during the Promotion Period. Prizes will be fulfilled in approximately two (2) weeks of winner confirmation. Total ARV of all prizes is $1,000,000.
7. Release: By participating, each entrant agrees to release and hold harmless Sponsor, Administrator, PayPal Inc., and any promotional and advertising partners, each of their parent, subsidiary, affiliate, and related companies, and each of its and their respective officers, directors, members, representatives, employees, and agents (collectively the “Released Parties”) from and against any losses, damages, rights, claim, or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Sweepstakes or resulting directly or indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Sweepstakes, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy. EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”
8. Publicity: Except where prohibited, participation in the Sweepstakes constitutes each entrant’s consent to Sponsor and its agents’ use of entrant’s name, likeness, HoneyHolidays Droplist items, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
9. General Conditions: In its sole discretion, Sponsor reserves the right to: (a) void participation of any participant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play in this Sweepstakes; (b) disqualify any participant at any time (even if disqualified winner or potential winner may have been notified or displayed or announced anywhere), if Sponsor determines at any time in its sole discretion that such participant is ineligible, in violation of the Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person; (c) restrict or void entries or participation from any entrant if any suspicious entry and/or participation is detected; (d) cancel, modify or suspend the Sweepstakes and distribute the prize in a manner deemed fair and appropriate by Sponsor if the Sweepstakes is not capable of running as planned for any reason; (e) disqualify any participant that supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of the Official Rules in an attempt to obtain any prize (and in such case, that person may be prosecuted to the full extent of the law). Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) errors, typos or misprints in these Official Rules, in any promotion-related advertisements or other materials; (6) electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages; (7) if an entrant’s e-mail address, or other contact information does not work or is changed without entrant giving prior written notice to Sponsor or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.
11. Disputes: You agree that any claim or dispute at law or equity that has arisen or may arise relating in any way to or arising out of the Sweepstakes or the Official Rules will be resolved in accordance with the provisions set forth in this Dispute Resolution section. Please read this section carefully. It affects your rights and will have a substantial impact on how claims you and we have against each other are resolved.
You agree that whenever you have a disagreement with Administrator or Sponsor arising out of, connected to, or in any way related to the Promotion or the Official Rules, you will send a written notice to the Administrator (“Demand”). You agree that the requirements of this Dispute Resolution section will apply even to disagreements that may have arisen before you accepted these Official Rules. You must send the Demand to the following address (the “Notice Address”): Legal Department, Merkle, Inc., 3000 Town Center, Suite 2100, Southfield, MI 48075. You agree that you will not take any legal action, including filing a lawsuit or demanding arbitration, until 10 business days after you send a Demand. If the disagreement stated in the Demand is not resolved to your satisfaction within 10 business days after it is received, and you intend on taking legal action, you agree that you will file a demand for arbitration with the American Arbitration Association (the “Arbitrator”). This arbitration provision limits the ability of you, Administrator, and Sponsor to litigate claims in court and you, Administrator, and Sponsor each agree to waive your respective rights to a jury trial or a state or federal judge. You agree that you will not file any lawsuit against Administrator or Sponsor in any state or federal court. You agree that if you do sue in state or federal court, and Administrator or Sponsor brings a successful motion to compel arbitration, you must pay all fees and costs incurred by Administrator and Sponsor in court, including reasonable attorney’s fees. For any such filing of a demand for arbitration, you must effect proper service under the rules of the Arbitrator and notice to the Notice Address may not be sufficient. If, for any reason, the American Arbitration Association is unable to conduct the arbitration, you may file your case with any national arbitration company. The Arbitrator shall apply the AAA Consumer Arbitration Rules effective September 1, 2014 (as may be amended) and as modified by the agreement to arbitrate in this Dispute Resolution section. You agree that the Arbitrator will have sole and exclusive jurisdiction over any dispute you have with Administrator or Sponsor. The Federal Arbitration Act allows for the enforcement of arbitration agreements and governs the interpretation and enforcement of the agreement to arbitrate.
You agree that you will not file a class action or collective action against Administrator or Sponsor, and that you will not participate in a class action or collective action against them. You agree that you will not join your claims to those of any other person. Notwithstanding any other provision in the Official Rules, if this class action waiver is invalidated, then the agreement to arbitrate is null and void, as though it were never entered into, and any arbitration dispute at that time will be dismissed without prejudice and may be refiled in a court. Under no circumstances do you, Administrator, or Sponsor agree to class or collective procedures in arbitration or the joinder of claims in arbitration. Administrator and Sponsor agree that we will submit all disputes with you to arbitration before the Arbitrator.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, Administrator, and Sponsor in connection with the Promotion, or any claim or dispute that has arisen or may arise between you, Administrator and Sponsor, shall be governed by, and construed in accordance with, the laws of the State of Delaware without giving effect to any choice of law or conflict of law rules.
12. Privacy: As a condition of entering the Sweepstakes, without limiting any other provision in these Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address, and other information and content to third parties for the sole purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules.
